Merch Services Agreement

Parties

CORPDROP(“we,” “us”) is operated by CORPDROP LLC (Austin, TX) and provides AI-generated merch design, lookbook publishing, and order fulfillment coordination services at corpdrop.io.

Client(“you”) is the brand or organization submitting a drop request through our intake form.

1. Services

We will: (a) generate a custom merch drop including product designs and mockups based on your brand assets, (b) publish a hosted digital lookbook at a corpdrop.io URL, and (c) coordinate order fulfillment through our third-party fulfillment network.

We are not the manufacturer. CORPDROP is an AI-powered design and storefront layer. Physical production, inventory, and shipping are handled by our fulfillment partners, which may include the following depending on product category:

Each partner operates under their own production, shipping, and return terms. CORPDROP selects the fulfillment partner best suited to each product; partner selection is at our discretion.

2. Your Brand Assets & IP

You represent and warrant that:

• You own or have full rights to all logos, trademarks, and brand assets you submit
• Your assets do not infringe any third party’s intellectual property
• You authorize CORPDROP to use your assets solely to produce and display your drop
• You authorize CORPDROP to share your assets with our fulfillment partners solely for production purposes

If a third party makes an IP claim arising from your submitted assets, you agree to indemnify CORPDROP and our fulfillment partners for any resulting costs.

3. Mockup Approval

We will provide digital mockups for your review before publishing. Your written approval (email or platform confirmation) constitutes acceptance of the designs. After approval:

• Print quality, color accuracy, and sizing are governed by each fulfillment partner’s production standards
• CORPDROP is not liable for print outcomes on approved designs
• Change requests after approval may incur a revision fee

4. Fees & Payment

CORPDROP earns a margin on each product sold through your lookbook. Fulfillment partner base costs vary by product and partner. End prices are shown transparently to your buyers at checkout.

5. Fulfillment, Shipping & Returns

Orders are fulfilled directly by the applicable third-party partner and shipped to your buyers. CORPDROP does not hold inventory.

• Shipping timelines vary by partner and destination; estimates are provided at checkout and are not guaranteed
• Returns and defects:Production errors or damaged goods are handled per each fulfillment partner’s defect policy. CORPDROP will assist in facilitating claims but is not the final arbiter of refunds or replacements
• Out-of-stock items: If a fulfillment partner discontinues a product variant, CORPDROP may substitute a comparable item or remove it from your lookbook

6. Term & Takedown

Your lookbook remains live for the duration of the active drop or until either party terminates. We reserve the right to take your lookbook offline if:

• Payment is overdue by 30+ days
• Your assets are found to infringe third-party IP
• A fulfillment partner requires removal due to production issues

Outstanding orders at time of takedown will still be fulfilled.

7. Limitation of Liability

CORPDROP’s total liability for any claim is capped at fees you paid us in the 30 days preceding the claim. We are not liable for fulfillment partner production delays, shipping issues, partner policy changes, or third-party platform outages.

8. Governing Law

Governed by the laws of the State of Texas. Disputes resolved by binding arbitration in Dallas, TX.
